Founding Retailer Terms & Conditions

These Terms & Conditions ("Terms") govern your participation in the Relief On The Go Founding Retailer programme (the "Programme") operated by Big Brands, Inc. ("Big Brands," "we," "us," or "our"). By submitting a pre-book registration, you agree to these Terms. If you do not agree, do not submit a pre-book.

1. Programme overview

The Programme is a turnkey impulse-OTC merchandising offering for Canadian retailers. Founding Retailers receive:

2. Eligibility

The Programme is available exclusively to Canadian retail businesses operating in the convenience & gas, hotel, hardware, independent pharmacy, liquor, travel & tourism, independent grocer, college & university, or comparable impulse-format retail categories. You represent that you are an authorized representative of the business you register on behalf of, and that the shipping address you provide is a valid Canadian commercial address. We reserve the right to verify eligibility and decline registrations that do not meet our criteria.

3. Pre-book mechanic

Submitting the pre-book form reserves a slot in your market vertical. A reservation is not a binding purchase order; it is a Founding Retailer reservation that locks pricing and bonuses subject to these Terms.

No money is due at the time of pre-book. If you decline the VIP upgrade, no payment method is collected. If you opt into VIP, a payment method is saved on file via Stripe Setup mode (see Section 4).

The pre-book window closes September 25, 2026 at 11:59pm Eastern Time. Slots are limited to 200 per market vertical and are filled in registration order, not in order of VIP upgrade.

4. Payment, card-on-file, and charging

Founding VIPs add a payment method to their Big Brands customer record using Stripe, our PCI-DSS Level 1 certified payment processor. The card is saved as a payment method only — it is not charged or pre-authorized at the time of registration.

Charges run only when your pre-pack physically ships in November 2026. We will charge the saved card from the Stripe Dashboard on or about your ship date and you will receive 72 hours' notice before any charge runs. If you have existing net terms with Big Brands, those net terms apply to your pre-book — the saved card stays on file as a backup but is not charged, and your normal net-terms invoice cycle is used instead.

5. Pricing and the 12-month wholesale price-lock

Founding wholesale rates start at $1.37 per travel-size 2-count unit. Per-SKU pricing varies (Tylenol and Advil price higher than Vivunt; 4-count SKUs price higher than 2-count). Pre-pack tier pricing is published on the registration page and may be updated for non-Founding retailers; your locked rates will not change.

Your wholesale rates (starting at $1.37 per unit) are locked for 12 months from the date your first pre-pack physically ships. The lock applies to all reorders placed within that window and is not subject to input cost increases, freight surcharges, or category re-pricing.

6. VIP bonuses

Founding Retailers who add a card on file ("VIPs") receive the following bonuses on their first order, in addition to the universal Founding Retailer benefits:

VIP bonuses apply only to the first pre-pack order under the Programme. Bonuses are non-transferable and may not be combined with other discounts.

7. SKU Credit Guarantee

If a SKU included in your first pre-pack order has not generated sell-through within 90 days of stocking on your shelf, Big Brands will issue a credit equal to the wholesale value of the remaining unsold stock of that SKU. The credit is applied toward a different SKU on your next reorder. You retain the existing inventory.

The SKU Credit Guarantee covers your first order only. Once you place a reorder, you are deemed to have validated the SKU mix; the Guarantee does not extend to subsequent orders. To claim the Guarantee, contact your dedicated Big Brands rep with sell-through evidence within 14 days following the 90-day window.

8. Cancellation and refund policy

You may cancel your pre-book at any time before your ship date by emailing your dedicated Big Brands rep or contacting us at launch@bigbrandsinc.com. Cancellation voids the order, releases any saved payment method, and incurs no fee.

Once your pre-pack has shipped, the order is final. Standard Big Brands return and refund policy applies to shipped product, including any defective or damaged goods. Return-merchandise authorization is required before any return; contact your rep within 14 days of receipt to initiate.

9. Free display fixture

The display fixture (counter backboard, wire counter, shelf PDQ, or wire gondola topper) is supplied at no charge with your first pre-pack order. The fixture is provided on loan as a merchandising aid for Relief On The Go product. Title to the fixture remains with Big Brands; you agree to use the fixture solely to display Relief On The Go product and to return the fixture in reasonable condition (allowing for normal wear) if you exit the Programme within 12 months of receipt.

10. Industry Insights Dashboard

Founding Retailers receive 12 months of access to the Industry Insights Dashboard from your first ship date. To use the Dashboard, you agree to submit your store's market type, display placement, and shelf pricing data, which is aggregated and anonymized before being shared with peers in the cohort. After 12 months, continued access is offered at standard rates.

11. Programme modifications

Big Brands reserves the right to modify Programme features, ship dates, or these Terms when reasonably necessary, including for supply-chain disruption, regulatory changes, or unforeseen operational reasons. Material changes affecting your pre-book will be communicated by email no fewer than 14 days before they take effect, where reasonably practicable. The 12-month wholesale price-lock and SKU Credit Guarantee, once activated, are not subject to unilateral modification.

12. Limitation of liability

To the fullest extent permitted by law, Big Brands' total liability arising out of or relating to the Programme is limited to the wholesale amount paid by you for the goods giving rise to the claim. Big Brands is not liable for indirect, consequential, or incidental damages, including lost profits or loss of goodwill, except where such limitation is prohibited by applicable law.

13. Health Canada and product compliance

All Relief On The Go SKUs carry valid Health Canada Drug Identification Numbers (DINs) and are sold and labelled in compliance with Canadian regulations. Retailers are responsible for compliance with provincial and municipal regulations applicable to OTC product sales in their jurisdiction.

14. Governing law

These Terms are governed by and construed in accordance with the laws of the Province of Alberta and the federal laws of Canada applicable therein. Any dispute arising under these Terms is subject to the exclusive jurisdiction of the courts of Alberta.
